TERMS AND CONDITIONS - “MAESTRI MAGIC TASTING CLUB”

INTRODUCTION

Welcome to the “Maestri Magic Tasting Club” (hereinafter, “the Club”), operated by ALP SERVICES, a legally constituted entity, under license of the Casa Maestri Tequila brand. By joining the Club, you become a “Member” and agree, unconditionally and without reservation, to comply with the following terms and conditions (hereinafter, “the Terms”). You are urged to read these Terms carefully before completing your registration, as they constitute a binding agreement between you and the Club.

CLUB OBJECTIVE

The Maestri Magic Tasting Club's main purpose is to promote tequila culture by offering a unique and exclusive sensory experience. The Club seeks to foster a community of distillate enthusiasts and their processes, providing access to benefits and rewards designed to enrich the appreciation of Casa Maestri's premium tequila.

MEMBER'S RIGHTS AND OBLIGATIONS

1.1. Every person who purchases at least one of our 3-packs of 375 ml bottles of Casa Maestri Tequila, or more, will be automatically registered in the Maestri Magic Tasting Club.

The Club reserves the right to modify the requirements to join the Club, with at least thirty (30) days prior notice through the Club's official media. Continued membership after such notice constitutes acceptance of the new conditions.

1.2. To maintain an active membership and be eligible for benefits, the Member agrees to actively participate in the following activities, which are essential requirements for continued membership:

a) Organization of tasting events: The Member must organize a minimum of one (1) sensory tasting experience every three (3) months. Each event must have a minimum of six (6) and a maximum of fifteen (15) participants over the age of 21. Failure to comply with this requirement will be considered an inactivity that will result in the automatic cancellation of membership.

b) Kit request: The Member must request the tasting kit in writing, by sending an email to mmtastingclub@gmail.com, at least seven (7) days prior to the scheduled date of the tasting.

c) Generation and transfer of content: The Member undertakes to generate photographic and/or video evidence of each tasting organized and to upload such material to the evidence folder designated by the Club. Additionally, the Member must tag Casa Maestri's Instagram account (@casamaestritequila) in its publications on social networks related to the event, and encourage its guests to do the same.

d) Conference Attendance: The Member shall attend a minimum of three (3) conferences organized by the Club during the membership year.

e) The Member, by accepting these Terms, grants the Club and Casa Maestri an irrevocable, worldwide, perpetual, non-exclusive, royalty-free and transferable license to use, reproduce, distribute, exhibit, adapt and modify any photograph, video or content generated by the Member in the context of the Club's activities, including, but not limited to, material provided as evidence and uploaded to social networks. This license includes the right to use the image, voice, and likeness of the Member and the participants of the tastings, for promotional, marketing and advertising purposes of the Club and Casa Maestri, without further compensation. The Member represents and warrants that it has obtained and will maintain the authorizations and image rights assignments of all participants in its tasting events to allow the Club to use such material in accordance with this clause. The Club disclaims all liability for third party claims related to the use of such material.

2. TASTING KIT AND VALIDATION OF THE SENSORY EXPERIENCE

2.1. The tasting kit is the central instrument of the Club's sensory experience. It is designed to facilitate a complete and formative experience, ideally for six (6) participants. Its contents include:

A tripack of 375 ml bottles (blanco, reposado and añejo tequila).

Two sensory kits per type of tequila, with representative aromatic elements.

Printed instruction pages with sensory maps and odor and flavor spectra.

Additional guide sheets for the identification of aromatic and taste notes.

A QR code giving access to an official instructional video.

The Member agrees to follow the procedure established in the instructions.

2.2. For a tasting experience to be valid and earn points, the Member must submit documentary evidence, which will be reviewed and validated by the Club's administration.

2.3. Types of evidence accepted:

Photograph: At least three (3) images where the bottles, sensory kits and a minimum of three (3) participants are clearly visible.

Video: Minimum of 30 seconds and maximum of 5 minutes, showing the actual development of the experience, the interaction between participants and the use of the kit.

2.4. The evidence must show:

The elements of the kit used.

The presence and active participation of the attendees.

The general development of the experience according to the instructions.

The Club may add authorized products for the realization of valid experiences, which will be officially published in the Club's electronic media.

3. SHIPPING AND DELIVERY

3.1. The shipping logistics of the tasting kits and the delivery of prizes are managed by Bottle Nexus, who provides the technological infrastructure service, regulatory compliance and relationship with the distribution of the products for the preparation, packaging and shipping to the Member's home. Meanwhile, the accumulation of points and travel logistics are managed by ALP SERVICES, through independent third party carriers. The Member acknowledges that the Club is not a carrier and that the shipping service is a service outside the direct responsibility of the Club.

3.2. For each shipment of a tasting kit, the Member will be charged a shipping and handling fee determined and managed by Bottle Nexus, based on the weight, destination and distribution modes used by its network of licensed retailers .

3.3. Neither the Club nor Casa Maestri Tequila are responsible for delays, loss, theft, damage or any incident during shipment or delivery. The risk of loss or damage passes to the Member when Bottle Nexus delivers the kit or prize to its distributor or final carrier. It is the sole responsibility of the Member to handle claims directly with the carrier designated by Bottle Nexus.

3.4. It is the Member's responsibility to ensure that the shipping address provided is complete, accurate and up to date at all times, in order to facilitate the proper execution of the service by Bottle Nexus and its partners.

4. POINTS AND REWARDS SYSTEM

4.1. The Club operates a point system to encourage participation. Accumulated points can be redeemed for exclusive rewards subject to availability.

4.2. Accumulation of points:

50 points per registration as a Member.

50 points for each online purchase of a 3-pack of 375 ml bottles of Casa Maestri Tequila.

100 points for each organized and validated tasting experience.

50 additional points for referring a new Member who completes registration and makes the initial co-pack purchase.

5. REDEMPTION OF POINTS AND MANAGEMENT OF REWARDS

5.1. Points can only be redeemed by the membership holder through the Club's website. Once redeemed, the points are deducted, and the redemption is final. No cancellations, modifications or refund requests will be accepted.

5.2. Accumulated points may be redeemed for the following benefits, subject to availability and the policies established by the service provider:

Registration and welcome.

Member's birthday.

Active participation in events.

Referrals through personalized URL.

Participation in tasting experiences.

5.4. The Member acknowledges and accepts that trips, experiences and other rewards are subject to the terms and conditions of third party providers (airlines, hotels, etc.). The Club is not responsible for changes, cancellations or any inconvenience caused by such third parties.

5.5. The Member acknowledges that ALP SERVICES is the sole entity responsible for the management, logistics and delivery of the prizes and rewards. By participating in this program, the Member expressly releases Casa Maestri Tequila from any liability or claim related to the delivery of prizes.

5.6. The accumulated points are valid for twelve (12) months from the date on which they were granted. Points not redeemed within this period will expire automatically and without prior notice.

5.7. A waiting period of up to fifteen (15) business days from redemption to receipt of the physical product or certificate is recommended.

5.8. The maximum period for claiming products or certificates not received will be one (1) month from the redemption date.

6. USER PANEL AND POINTS MANAGEMENT

6.1. Each registered Member shall have access to his/her account through the “MyAccount” section on the Club's website.

6.2. Through his or her account, the Member will be able to:

View his/her current points balance.

View his/her movement history and evidences.

Change his/her password.

Access his/her personal code or URL to refer new users.

7. CANCELLATION AND TERMINATION

7.1. The Member may terminate its membership at any time by sending written notice to mmtastingclub@gmail.com.

7.2. The cancellation will take effect immediately.

7.3. The Club reserves the right to suspend or terminate a Member's membership at any time and without notice, in case of violation of these Terms, including, but not limited to, breach of activity obligations (Clause 1.1.a) and underage drinking. In the event of termination for cause, the Member will forfeit all accrued points and will not be entitled to a refund.

8. LEGAL COMPLIANCE AND RESPONSIBLE CONSUMPTION

8.1. The Member represents and warrants that he/she is over 21 years of age and that he/she will comply with all applicable laws and regulations in his/her jurisdiction regarding the purchase, possession and consumption of alcohol.

8.2. The Club does not promote excessive consumption or misuse of alcohol. Members are solely responsible for complying with all local, state, and federal laws regarding the consumption and distribution of alcohol, including, but not limited to, provisions for conducting tastings in accordance with local alcohol permit requirements.

8.3. The Member undertakes to promote and ensure that tastings organized by him/her only involve persons over 21 years of age. The Member is solely responsible for verifying the age of the participants.

8.4. The Club and Casa Maestri Tequila shall not be liable for damages, harm or consequences derived from the irresponsible consumption, misuse or abuse of alcoholic beverages by the Member or the participants in its events. The Member assumes full responsibility for his/her actions and those of his/her guests in relation to the consumption of alcohol.

9. PRIVACY POLICY

9.1. By joining the Club, you agree to the collection, use, and storage of your personal information in accordance with the Club's Privacy Policy, available at https://www.maestrimagic.com/privacy-policy.

9.2 The personal data collected will only be used for identification, contact, registration, and participation in our “Maestri Magic Tasting Club” program, as well as to offer you benefits, promotions, rewards, and improvements to our services.

9.3. Your data will be processed in accordance with applicable law and may be transferred to third parties solely for operational purposes.

9.4. To read our comprehensive privacy notice, including the means to exercise your rights of access, rectification, cancellation, and opposition, you can consult it at https://www.maestrimagic.com/privacy-policy or request it via email.

9.5. If you are outside the United States, the information may be transferred and processed in the US when you use the Club's services, so by registering with the Club, you consent to such transfer.

10. MODIFICATIONS

10.1. The Club reserves the right to modify or amend these Terms at any time.

10.2. Any changes will be communicated to Members by email or via the Club's website with reasonable notice. Continued membership after the changes take effect constitutes acceptance of the changes.

11. CONFIDENTIALITY

11.1. The Member acknowledges that all information, documents, data or materials to which he/she has access as a result of his/her membership and use of the service (hereinafter, “Confidential Information”) are the exclusive property of the Club and/or Casa Maestri.

11.2. The Member undertakes to maintain the strict confidentiality of the Confidential Information, not to disclose it, not to use it for its own benefit or that of third parties, and to avoid any unauthorized use.

12. LEGAL RELATIONSHIP AND LIMITATION OF LIABILITY

12.1. The Member acknowledges and agrees that Casa Maestri Tequila acts exclusively as the manufacturer of the products and owner of the Club's brands; ALP SERVICES is responsible for the administration of the rewards system, accumulation of points and coordination of travel experiences; and Bottle Nexus acts as the entity in charge of the logistics operation, regulatory compliance, distribution and home delivery of the Club's tasting kits, products and prizes, through its e-commerce platform and network of authorized retailers.

12.2. The Member understands that any matter related to the operation, logistics, distribution or delivery of physical products, including kits or prizes, should be exclusively channeled to Bottle Nexus, and that any situation related to points, rewards or travel experiences should be directed to ALP SERVICES, in their respective areas of responsibility.

12.3. The Member agrees that Casa Maestri Tequila is not involved in and has no responsibility for the logistics, distribution, delivery, regulatory compliance or customer service processes related to the products shipped, as these are handled autonomously by Bottle Nexus and/or ALP SERVICES. In this regard, the Member expressly releases Casa Maestri Tequila, as well as its partners, employees, representatives and affiliates, from any liability for delays, losses, damages, defects, theft, or any other incident arising from the shipment or delivery of Club kits or prizes.

12.4. Participation in the Club implies the express acceptance of these conditions, as well as the understanding that the logistics and loyalty services are provided by third parties, under their own operating policies, terms and conditions.

13. MAJEURE FORCE

13.1. The Club shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including, but not limited to, war, terrorism, pandemic, labor disputes, government restrictions, or failures of suppliers or carriers.

14. APPLICABLE LAW AND JURISDICTION

14.1. These Terms and Conditions shall be governed by and construed in accordance with the federal laws of the United States of America.

14.2. By enrolling in the Club Rewards Program, you agree that any dispute, claim, or controversy arising out of or relating to your participation in the program, including these Terms and Conditions, shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible, which shall be subject to the exclusive jurisdiction of the federal courts in Houston, Texas, USA, and the parties expressly waive any other jurisdiction to which they may be entitled by reason of their current or future domicile or for any other reason.

14.3. Members agree to waive any right to a jury trial or to participate in a class action or class arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA), and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Unless otherwise agreed, the arbitration shall take place in Houston, Texas.

14.4. This arbitration agreement shall remain in effect after the termination of your participation in the program.

ACCEPTANCE

By becoming a Maestri Magic Tasting Club Member, you confirm that you have read, understood, accepted and agree to be bound by these Terms and Conditions.
